Effective Date: Upon Acceptance
Licensor: OpenInfer, Inc., a California corporation ("OpenInfer")
Licensee: The individual or entity accepting this Agreement ("Partner")
1. Acceptance
By clicking "I Agree", accessing, or using OpenInfer's inference services (the "Service"), Partner agrees to be bound by this Agreement. If Partner does not agree, Partner must not access or use the Service.
2. Scope of License
OpenInfer provides access to its proprietary inference stack and related services (the "Service") solely for internal evaluation during the Beta Period. This Agreement governs only Partner's use of OpenInfer's inference Service. The Service may incorporate or rely on third-party software, including openClaw, which is licensed separately under its own applicable license terms. Partner is responsible for complying with any such third-party licenses. OpenInfer does not grant any rights to such third-party software beyond what is provided under their respective licenses.
3. Beta Program; Evaluation Only
The Service is provided as a free beta for evaluation purposes only. The Service is experimental, may contain errors, and may be modified, suspended, or discontinued at any time without notice. Partner shall not use the Service in any production environment or for any mission-critical or safety-critical deployment. OpenInfer makes no commitment to provide any future version, features, or pricing.
4. No Support; No Availability Guarantee
The Service is provided on an "as-is" and "as-available" basis. OpenInfer provides no support, maintenance, updates, service levels, uptime guarantees, or availability commitments of any kind. OpenInfer may suspend, restrict, or terminate access at any time, for any reason.
5. Third-Party Infrastructure
The Service may depend on or interoperate with third-party infrastructure, cloud services, networks, or platforms not controlled by OpenInfer. OpenInfer is not responsible for the availability, performance, reliability, security, or uptime of any such services. Outages, interruptions, or failures may occur at any time. Partner is solely responsible for all risks, costs, and configurations associated with such services.
6. Acceptable Use
Partner agrees to use the Service only for lawful purposes and in compliance with all applicable laws. Partner shall not use the Service to: develop, train, or deploy systems intended to cause harm; generate or distribute illegal, fraudulent, or infringing content; enable surveillance, discrimination, or harassment; circumvent or exploit security mechanisms; violate export control, sanctions, or data protection laws; or engage in any activity that is harmful, unethical, or damaging to OpenInfer. OpenInfer may suspend or terminate access immediately upon any suspected violation.
7. Restrictions
Partner shall not: copy, modify, reverse engineer, or create derivative works of the Service; remove proprietary notices; resell, sublicense, or provide access to third parties; build competing products or services; or publish benchmarks or performance results without prior written consent.
8. Data Responsibility
Partner is solely responsible for all data processed through the Service. Partner represents and warrants that it has all necessary rights, consents, and permissions to use such data and that its use complies with all applicable laws. OpenInfer does not assume any responsibility for data accuracy, legality, or use.
9. High-Risk Use Prohibition
Partner shall not use the Service in connection with any application where failure could result in death, personal injury, or significant damage, including but not limited to medical, financial, legal, or safety-critical systems.
10. Intellectual Property
OpenInfer retains all right, title, and interest in and to the Service and all related intellectual property. Any feedback provided by Partner may be used by OpenInfer without restriction or compensation.
11. Confidentiality
The Service and all non-public information provided by OpenInfer are confidential. Partner shall not disclose such information to any third party and shall use it solely for evaluation purposes.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind. OpenInfer disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. OpenInfer does not warrant that the Service will be uninterrupted, error-free, or secure.
13. Limitation of Liability
To the maximum extent permitted by law, OpenInfer shall not be liable for any damages of any kind, including direct, indirect, incidental, consequential, or special damages, including loss of data, revenue, or business interruption. Partner assumes all risk arising from use of the Service. OpenInfer's total liability shall not exceed zero dollars ($0).
14. Indemnification
Partner agrees to indemnify, defend, and hold harmless OpenInfer and its affiliates from any claims, damages, or expenses arising out of: Partner's use of the Service; Partner's violation of this Agreement; or any unlawful, harmful, or unethical use.
15. Term and Termination
This Agreement is effective upon acceptance and continues until terminated. OpenInfer may terminate or suspend access at any time, with or without cause. Upon termination, Partner must immediately cease all use of the Service.
16. Governing Law
This Agreement is governed by the laws of the State of California. All disputes shall be resolved exclusively in the state or federal courts located in San Mateo County, California.
17. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. OpenInfer may update this Agreement at any time. Continued use of the Service constitutes acceptance of the updated terms.
